Terms & Conditions

 

 

 

 

1. Introduction

1.1           These Terms and Conditions:

(a)            apply to and govern the contractual relationship between the Program Partner and each Member with respect to the Reward Scheme made available by the Program Partner as a participant in the Aquire Loyalty Program;

(b)            are effective as at the date specified above and may be amended from time to time; and

(c)            operate in conjunction with the Aquire Loyalty Program Terms and Conditions (available at www.aquire.com.au) and in the event of any inconsistency or conflict the Aquire Loyalty Program Terms and Conditions prevail.

1.2    We recommend that you read these Terms and Conditions in full.

1.3    Participation in the Reward Scheme is deemed acceptance of these Terms and Conditions.

1.4           The current Reward Scheme Terms and Conditions are available at http://madisonaustralia.com/aquire-terms-conditions/. It is the Member’s responsibility to read and understand them. Any queries regarding these Terms and Conditions should be directed to the Program Partner.

 

2. Definitions

2.1           Unless the context otherwise requires:

(a)         terms used in the Aquire Loyalty Program Terms and Conditions and the Qantas Frequent Flyer Program Terms have the same meaning in these Terms and Conditions;

(b)         the following terms have these meanings in these Terms and Conditions; and

(c)         in the event that meanings in these Terms and Conditions are inconsistent with the Aquire Loyalty Program Terms and Conditions and the Qantas Frequent Flyer Program Terms, then those definitions will prevail over the meanings found in these Terms and Conditions.

Aquire Benefits means a benefit under the Aquire Loyalty Program and includes Aquire Points, discounts and rebates offered to Members by a Program Partner under its Reward Scheme and any Aquire Loyalty special offers made by Qantas or other Program Partners from time to time.

Eligible Products means all new purchases of Solar Photovoltaic Systems, Solar Hot Water, LED’s, Energy Efficiency Products, Batteries & Storage Systems and Generators offered by Madison Australia under an executed Purchase Contract except in relation the following:

(a)   Product/s and/or Installation Maintenance

(b)   Service / Warranty Calls

(c)   Wholesale or Trade Related Purchases where the customer is directly or indirectly involved in the Solar / Energy efficiency industry.

(d)   Where installation and/or project management of the products sold will not be completed by Madison Australia Pty Ltd and/or related parties.

(e)   The Finance related or Interest related costs of a non-cash settled purchase, such as a 36 months interest free offer or an Equipment Lease / Hire-Purchase settlement.

(f)    Contract and quotations made prior to Aquire launch date or prior to the customer becoming a Member; and

(g)   Subsidiary departments, companies or different brands of Madison Australia Pty Ltd unless otherwise stated as being eligible.

LGC Eligible System (LGC) means that the Member is eligible to receive Large Scale Generation Certificates (“LGC”) rebates/incentives, rather than STC’s (Rebates), a pro-rata calculation will apply to convert/simulate the Member purchase to the equivalent STC system amount.

For Example: 150 kW System with LGC’s

1)       150 kW divided by 99.9 kW = 1.5015

2)       1.5015 x 1,775 = 2,665 STC’s

(Where 1,775 is the applicable number of STC’s accrued in Zone 4 for a 99.9 kW system)

3)       Aquire Benefits for the 150kW System are then calculated based on the LGC purchase price, less the value of 2,665 STC’s at a rate of 1 Acquire Point for every $1.

Member means a business that:

  • is an ABN Holder with a postal mailing address in Australia that is registered with Qantas as a member of the Aquire Loyalty Program;
  • has been advised by the Program Partner that the business may earn Aquire Benefits in accordance with these Terms and Conditions; and
  • has purchased and executed a sales contract relating to Eligible Products with the Program Partner which has not been terminated;

Program Partner means Madison Australia Pty Ltd;

Purchase Contract means the Program Partner’s Purchase Contract – Sales Order form;

Qantas means Qantas and its related bodies corporate.

Reward Scheme means, for the purposes of these Terms and Conditions, the Aquire – Madison Australia Rewards Program

STC Eligible System (STC) means that the Member is eligible to receive Small Scale Technology Certificates (“STC”) rebates/incentives for their solar system purchase.

Background Information:

–         Currently STC’s are deemed & paid on the basis of 15 years rebate value upfront at the time of installation. This is considered a customer ‘point-of-sale’ discount.

–          Currently the legislated threshold/cap for STC’s eligibility is a 99.9 kW system size.

–         Systems with 100 kW size and above are instead eligible to receive LGC’s. In the case of LGC’s rebates/incentives, these are not paid upfront as with STC’s. Payments of LGC’s instead occur as an annual payment over several years.

Terms and Conditions means these Reward Scheme Terms and Conditions which are administered by the Program Partner.

2.2           In these Terms and Conditions, unless the contrary intention appears:

(a)             the singular includes the plural and vice versa; and

(b)             a reference to ‘include’ or ‘including’ means ‘including but not limited to.

 

3. Application of Reward Scheme Terms and Conditions

By claiming any Aquire Benefit under the Reward Scheme, a Member agrees to be bound by these Terms and Conditions in addition to the Aquire Loyalty Program Terms and Conditions.

 

4. Changes to Reward Scheme

4.1    Subject to clause 4.2 and the Reward Scheme Terms and Conditions, the Program Partner may implement any changes (whether material or otherwise) to these Terms and Conditions and the Aquire Benefits offered in relation to Eligible Products, including changes to:

(a)         the way in which Aquire Benefits are earned under the Reward Scheme;

(b)         Eligible Products in respect of which Aquire Benefits may be earned; and

(c)         restrictions, conditions and eligibility to earn Aquire Benefits under the Reward Scheme.

4.2    The Program Partner will inform Members of material changes to these Terms and Conditions and where such changes will reduce the number of Aquire Benefits offered to Members under the Reward Scheme, when possible, give Members at least 30 days’ notice.

4.3    In the event that legislation changes or the tradable commodity prices of the STC Eligible System changes and it materially affects the Aquire Benefits a Member is expected to receive and the Program Partner cannot provide at least 30 days’ notice to the Member, the Member accepts and agrees that the Program Partner or Qantas cannot be held responsible for any material change in the Aquire Benefits that a Member is expected to earn.

4.4    Without limiting clause 4.1 in any way, Members will be taken to have received the notice referred to in clause 4.2 if the Program Partner or Aquire Loyalty notifies Members of the change by sending an email to the email address in the Membership Account.

4.5    Members acknowledge and agree that Qantas may vary any of the Aquire Loyalty Program Terms and Conditions and the Qantas Frequent Flyer Program Terms from time to time or suspend or terminate the Aquire Loyalty Program at any time. This may have a material impact on the Aquire Benefits that the Program Partner has promised or advertised to the Member. In the event that any material impact occurs, the Member acknowledges and accepts that the Program Partner may not have full control of the Aquire Benefits Qantas assigns to the Member’s account and the Member accepts the Aquire Benefits assigned at the discretion of Qantas.

4.6    If these terms and conditions are inconsistent with the Aquire terms and conditions, Madison Australia  will do their best to remedy the Member’s position without any guarantee of the outcome.

 

5. Termination or suspension of the Reward Scheme

5.1    The Program Partner gives no undertaking as to the continuing availability of the Reward Scheme. The Program Partner may terminate or suspend the Reward Scheme at any time. and will give at least 60 days’ notice to Members of such termination or suspension, except if the Aquire Loyalty Program ceases to operate, in which case the Reward Scheme will cease immediately.

5.2    If the Program Partner terminates or suspends the Reward Scheme, subject to the Aquire Loyalty Program Terms and Conditions Members will be able to convert Aquire Benefits to Qantas Points during the notice period, except where:

(a)             Qantas is ceasing to operate an airline business and/or has gone into liquidation, receivership or other form of administration; and/or

(b)             the Program Partner ceases to operate its business and/or has one into liquidation, receivership or other form of administration, in which case Aquire Benefits May be cancelled without notice.

 

6. Earning Aquire Benefits

6.1    Subject to the exclusions, limitations and other conditions specified in this clause 6, the Program Partner will award Aquire Benefits to Members at the applicable rate specified in the Aquire Loyalty Program Partner Earn Table, or in any special offer, for Eligible Products paid for by the Member for the Member’s business related purposes.

6.2    No Aquire Benefits will be awarded if the Eligible Product is cancelled, refunded or returned and in the event that the Member fails to meet any of its duties or obligations in respect of the Eligible Product/s.

6.3    To earn Aquire Benefits in relation to an Eligible Product, the Member must quote its ABN at the time of purchasing an Eligible Product and must comply with any other requirements or procedures advised by the Program Partner prior to the purchase.

6.4    It is the responsibility of the Member to check whether a product or other activity is eligible to earn Aquire Benefits, and if so how many Aquire Pointsor other Aquire Benefits will be earned, before making a purchase or undertaking the relevant activity.

6.5    Members must provide the Program Partner on request with documented verification of the purchase of an Eligible Product. The Program Partner reserves the right to deny or revoke the crediting of Aquire Benefits at any time if the Program Partner determines that Aquire Benefits were improperly obtained or erroneously credited to a Member’s Membership Account.

6.6    Unless otherwise determined by the Program Partner, Members are not eligible to earn Aquire Benefits in the Reward Scheme if they:

(a)     have their principal place of business outside Australia; or

(b)     Where the Member is claiming LGC’s rather than STC’s Government Rebates, the Aquire Benefits calculation will be based on the equivalent post ‘STC rebate figure’. Aquire Benefits will not be calculated at the LGC out of pocket purchase price but rather the price that would have been the Members out of pocket price if STC’s were applied.

6.7    The Program Partner may offer additional opportunities to earn Aquire Benefits under a special promotion from time to time, in which case the terms and conditions referred to in the promotion will apply.

 

7. Crediting Aquire Benefits

7.1    The Program Partner will endeavour to instruct Aquire Loyalty to credit the applicable number of Aquire Benefits to the Membership Account within 30 days after the installation and full financial settlement of an Eligible Product. It is the responsibility of the Member to check that the correct number of Aquire Benefits has accumulated in the Membership Account.

7.2    Claims for the crediting of Aquire Benefits retrospectively must be made by the Member to the Program Partner within 90 days after the purchase of an Eligible Product. Unless otherwise specified by Aquire Loyalty, claims for the crediting of Aquire Benefits cannot be made if the Membership is not current or if the Membership Account was not active at the time the Eligible Product was purchased.

 

8. Suspension or termination of a Member or Aquire Benefits

8.1    The Program Partner reserves the right to terminate a Member’s participation in the Reward Scheme or withhold or cancel Aquire Benefits claimed under the Reward Scheme if a Member or any of the Member’s representatives has attempted to claim Aquire Benefits under the Reward Scheme to which they were not entitled.

The Program Partner and Aquire Loyalty will not be liable for any loss or damage whatsoever suffered by any person as a result of such withholding or cancellation and the Member is responsible for ensuring that its nominated Qantas Points Recipients are notified of this.
